Serotonin is seeking an Emerging Companies and Venture Capital Associate to manage corporate legal matters for emerging companies. This remote role offers a competitive salary and performance-based bonuses.

Responsibilities
- •Manage entity formation and setup for emerging companies.
- •Oversee equity and debt financings, including structuring and negotiation.
- •Draft and negotiate commercial contracts.
- •Provide counsel on corporate governance and compliance matters.
- •Advise on employment law and equity compensation strategies.
- •Manage capitalization tables and related documentation.
- •Handle mergers and acquisitions (M&A) transactions.
- •Serve as “outside general counsel” to clients.
- •Address other general corporate legal matters as needed.
- •Collaborate closely with the Managing Partner to deliver client-focused solutions.
- •Stay informed on developments in On-chain and Crypto technologies.

Requirements
- •Juris Doctor (J.D.) degree with strong academic credentials.
- •Membership in the New York State Bar is preferred but not required if admitted in another jurisdiction.
- •2–8 years of experience at a law firm with an Emerging Companies & Venture Capital (ECVC) or similar practice group, or in-house experience with a technology company.
- •Knowledge and experience in blockchain technologies are preferred but not required.
- •Excellent project management, analytical, and communication skills, both oral and written.
- •Proven ability to work independently while staying connected in a remote work environment, especially if located separately from other team members.
