What You Will Do

  • Governance and legal secretariat of the companies
  • Contribute to the monitoring of the social life of FDJ SA and group companies and participate in organizing governance meetings.
  • Prepare annual legal calendars and ensure compliance with legal deadlines.
  • Monitor executive compensation, incentive plans, and employee shareholding schemes.
  • Stock market law
  • Participate in the application and monitoring of applicable stock market regulations.
  • Secure periodic and ongoing information obligations.
  • Contribute to the preparation of the Universal Registration Document and coordinate various contributors.
  • General Meetings
  • Contribute to drafting necessary legal documentation (resolutions, reports, invitations).
  • Coordinate stakeholders: Financial Management, Statutory Auditors, General Management, shareholders.
  • Ensure the smooth running of AGs and follow up on decisions made.
  • Corporate law
  • Carry out routine and exceptional operations of the social life of group companies: approval of accounts, distribution of dividends, appointments and renewals of mandates, statutory modifications, capital increases or reductions, mergers, splits, restructurings, creations, and liquidations.
  • Draft and update statutes and social documentation.
  • Advice, monitoring, and compliance
  • Ensure legal formalities with competent authorities.
  • Advise business departments on governance and corporate law issues.
  • Identify legal risks and propose pragmatic solutions.
  • Ensure legal and regulatory monitoring and disseminate developments to relevant stakeholders.

  • Solid knowledge and proven experience in corporate law and stock market law.
  • Excellent analytical and legal drafting skills.
  • Ability to assess risks and propose pragmatic solutions.
  • Synthesis skills, rigor, and autonomy.
  • Interpersonal skills and ability to work transversally.
  • Profile
  • Hold a Master 2 in Law (business law, corporate law, or equivalent).
  • Have 2 to 5 years of experience gained in a listed company or law firm.
  • Master legal drafting and negotiation techniques.
  • Good command of legal English, both written and spoken, is an asset.
